Welcome to RECOLLECTION LLC! This End User License Agreement ("EULA") governs your use of our photo book application and services (collectively referred to as "Services"). By using our Services, you agree to comply with and be bound by this EULA. If you do not agree to these terms, please do not use our Services.
1. Acceptance of Terms
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by this EULA and our Privacy Policy. If you are using our Services on behalf of an organization, you represent that you have the authority to bind that organization to this EULA.
2. Eligibility
You may use our Services only if you can form a binding contract with RECOLLECTION LLC. You must be at least 13 years old to use our Services. If you are under 13, please do not use our Services.
3. License Grant
Subject to your compliance with this EULA, RECOLLECTION LLC grants you a limited, non-exclusive, non-transferable, and revocable license to use our Services solely for personal, non-commercial purposes. This license does not allow you to use the Services for any illegal or unauthorized purpose.
4. User Content
- Ownership: You retain all rights in any content you upload or create using our Services ("User Content"). You are solely responsible for your User Content.
- License to RECOLLECTION LLC: By submitting User Content, you grant RECOLLECTION LLC a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, display, reproduce, modify, and distribute your User Content in connection with our Services.
5. Copyright and Intellectual Property
You represent and warrant that you own or have the necessary rights to the User Content you submit and that it does not infringe the rights of any third party. If any third party claims that your User Content infringes their rights, you agree to indemnify and hold RECOLLECTION LLC harmless from any claims or damages.
6. Disclaimers and Limitations of Liability
- No Warranty: Our Services are provided "as is" without any warranty of any kind, whether express or implied. RECOLLECTION LLC does not guarantee the accuracy, reliability, or completeness of any content, including User Content.
- Limitation of Liability: To the fullest extent permitted by law, RECOLLECTION LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services, including but not limited to loss of profits, data, or goodwill.
7. Indemnification
You agree to indemnify, defend, and hold harmless RECOLLECTION LLC and its affiliates from any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising from your use of our Services, your User Content, or your violation of this EULA.
8. Dispute Resolution
Any disputes arising out of or related to this EULA or your use of our Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Farmington Utah. You agree to waive any right to a jury trial or to participate in a class action.
9. Changes to the EULA
RECOLLECTION LLC reserves the right to modify this EULA at any time. We will notify you of any material changes by posting the updated EULA on our application. Your continued use of our Services after any changes constitutes your acceptance of the new terms.
10. Governing Law
This EULA shall be governed by the laws of the State of Utah, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in Farmington, Utah. United States.
